Biography

Jennifer Broder is an M&A/private equity partner in Baker McKenzie's Los Angeles office. Jennifer guides private and public companies and private equity sponsors on a variety of complex corporate transactions, including mergers, acquisitions, divestitures and strategic investments.

Jennifer was named one of the "Top Women in Dealmaking" by The Deal and a "Dealmaker of the Year" by The American Lawyer. She was also named an “MVP” in M&A by Law360, a "Rising Star" for M&A by The Deal and one of the Top Women Attorneys in Los Angeles by the Los Angeles Business Journal.

She is a member of the Board of Directors of the Los Angeles Philharmonic and an elected member of the American Law Institute.

Jennifer previously served as a law clerk to the Honorable Leo E. Strine, Jr. of the Delaware Court of Chancery.

Jennifer's practice focuses on corporate transactions, including mergers, acquisitions, divestitures/carve-outs and investments, for public and private companies and private equity sponsors. She regularly advises boards, founders and key stakeholders on complex corporate governance and securities law matters.

  • Represented Berkshire Hathaway Inc. in its USD 11.6 billion acquisition of Alleghany Corp.
  • Represented Berkshire Hathaway in its USD 10 billion preferred equity investment in Occidental Petroleum, and its acquisition of the Van Tuyl Group (then the largest privately held auto dealership group in the United States).
  • Represented Oaktree Capital Management in its sale of 61% ownership to Brookfield Asset Management for USD 4.7 billion.
  • Represented Nexus Capital Management in various portfolio acquisitions and equity investments, including the merger of Natural Balance Pet Food with Canidae, a portfolio company of another private equity sponsor, and the acquisition of the FTD companies.
  • Represented Adam Pritzker and his company, Assembled Brands, in connection with an investment by Stripes in its majority-owned fashion label Khaite.
  • Represented Weta Digital in the sale of its visual effects assets to Unity Technologies for USD 1.6 billion.
  • Represented the Special Committee of the Board of Directors of Pope Resources in the sale of Pope Resources to Rayonier Inc. for USD 554 million.
  • Regularly advises founders of public companies as well as late and early stage companies in connection with exit transactions, fiduciary duties, governance structures and securities disclosures and reporting.
  • Represented the Yucaipa Companies in various investment and capital markets transactions, including as a shareholder in the USD 725 million initial public offering of Americold Realty Trust.
  • Advised BDT Capital Partners, LLC in connection with its investment in the USD 7.5 billion acquisition of Panera Bread Company.
  • Represented MGM Resorts International in its acquisition of its joint venture partner’s interest in Borgata Hotel Casino & Spa.
